In short
When a client marks a project as confidential, you sign this before you see its files and full story. You keep what you learn private and use it only to prepare a proposal or do the work.
Closed beta text. Belancer's lawyer in Bangladesh reviews this agreement before public launch.
Who this is between
This agreement is between the client who posted the project (the "client") and you, the freelancer or agency who signs it (the "recipient"). Belancer is not a party to the agreement; it only stores your signature and shows the project's confidential details after you sign.
When you sign
A client can mark a project as needing an NDA. You see the project's title and a short outline first. To open the files and the full story you sign with your full name. The signature is stored for that one project, with the time, your IP address and your browser. It does not cover any other project.
What is confidential
- The project's files, full story, requirements, budget details and any plans, designs, data, code or business information the client shares.
- What you learn about the client's business, customers and products while preparing a proposal or doing the work.
- Anything the client says is confidential in a message about this project.
What you promise
- Keep the information private. Do not share it, post it or use it for yourself or anyone else.
- Use it only to prepare a proposal for this project or to do the work if you are hired.
- Share it only with people who must see it to do the work, and only if they agree to the same rules. You are responsible for what they do with it.
- Do not copy files off Belancer more than the work needs, and delete what you hold when the client asks or when the project ends without a hire.
- Do not move the conversation or the deal off Belancer. See the Acceptable Use Policy.
What is not confidential
Information that was already public, that you already knew before the client shared it, that you got legally from someone else, or that you must reveal because the law or a court requires it. If the law requires you to reveal something, tell the client first when the law allows.
How long it lasts
Your promise continues after the project ends, for as long as the information stays confidential.
If this is broken
The client can report a breach to Belancer. Belancer may limit or suspend the account, as set out in the Terms of Service, and the client may take legal action. Questions about this agreement: [email protected].
